Private Preview Non-Disclosure Agreement

This Non-Disclosure Agreement (“Agreement”) is entered into between Future Ancestors Alliance / Sgaawaay / Wáadluwaan (“Disclosing Party”) and the individual or organization submitting this form (“Receiving Party”).

1. Purpose

The purpose of this Agreement is to allow the Receiving Party to review confidential information related to the Sgaawaay/Wáadluwaan platform, including software, architecture, data governance systems, artificial intelligence tools, cultural protocols, and business planning (“Confidential Information”).

2. Definition of Confidential Information

Confidential Information includes, but is not limited to:

• The Sgaawaay/Wáadluwaan platform, features, designs, and workflows

• AI models, training processes, datasets, and outputs

• Governance systems, consent frameworks, and cultural data controls

• Business plans, technical strategy, partner discussions, and roadmaps

• Any information marked or reasonably understood as confidential

3. Obligations

The Receiving Party agrees to:

• Keep all Confidential Information strictly confidential

• Use the Confidential Information solely for evaluation purposes

• Not disclose, share, copy, distribute, or otherwise make available any Confidential Information to any third party

• Not reverse engineer, reproduce, or exploit any portion of the platform or materials

4. Exclusions

Confidential Information does not include information that:

• Is or becomes publicly available without breach of this Agreement

• Was lawfully known prior to disclosure

• Is independently developed without use of Confidential Information

5. No License or Ownership

This Agreement does not grant any license or ownership rights to the Receiving Party. All rights remain with the Disclosing Party and participating communities.

6. Duration

This Agreement shall remain in effect for three (3) years from the date of acceptance.

7. Remedies

Unauthorized disclosure may cause irreparable harm. The Disclosing Party is entitled to injunctive relief and all available legal remedies.

8. Governing Law

This Agreement shall be governed by the laws of the State of Washington, USA.
